Terms of Service

1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the Quantum SmartQR platform and related services (the “Service”) operated by Quantum SmartQR (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of the Service
We provide a platform for creating, managing, and analyzing dynamic QR codes. The Service includes:
- Creation and management of dynamic QR codes with configurable redirects and destinations.
- Scan analytics (e.g., scan counts, timestamps, device category, and approximate geographic data) where applicable to your QR type and plan.
- Download-only QR generation (e.g., Wi‑Fi, contact cards, plain text) where data is encoded directly and no redirect or scan analytics are collected through the Service.
Free-tier offerings are provided on a best-effort basis. We do not guarantee uptime, availability, or performance for free-tier use. Paid or enterprise plans may have separate service level terms.
Support levels and priorities by plan are listed on Pricing. Contractual SLA terms are available on Enterprise plans by signed agreement.
3. Account Registration and Security
You must provide accurate and complete registration information and keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials, multi-factor authentication (MFA) codes, and any API tokens. You are responsible for all activity that occurs under your account. Notify us promptly of any unauthorized use of your account.
4. Acceptable Use
You agree to use the Service only in compliance with these Terms and all applicable laws. You must not:
- Use the Service for any illegal purpose or to distribute illegal, harmful, or offensive content.
- Use the Service to send spam, phishing, malware, or to engage in fraud or abuse.
- Circumvent or attempt to circumvent rate limits, plan limits, or security or access controls.
- Interfere with or disrupt the integrity or performance of the Service or the data of other users.
- Use the Service in any way that violates the rights of others or applicable export or sanctions laws.
We may throttle, suspend, or terminate access for conduct that we reasonably believe violates these Terms or poses a risk to the Service or other users.
5. Data Retention and Deletion
Scan telemetry and analytics are retained according to your plan’s retention policy. Your plan’s retention_days setting (on free plans typically 60–90 days, as configured per environment) determines how long such data is kept before purge. When a workspace (tenant) is deleted:
- Access to that workspace is disabled immediately and associated users are logged out.
- Tenant records, users, QR codes, and scan data are removed from our primary storage.
- Operational logs and backups may persist for up to 90 days and are then purged on their normal schedule.
6. Intellectual Property
The Service, including its design, features, and underlying technology, is owned by us or our licensors. We grant you a limited, non-exclusive, revocable license to access and use the Service in accordance with these Terms. You retain ownership of content you create or upload; you grant us the rights necessary to operate and provide the Service (e.g., to store, process, and display your QR codes and related data).
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. FREE-TIER SERVICE IS PROVIDED ON A BEST-EFFORT BASIS ONLY.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, REVENUE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS (USD $100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Indemnification
You agree to indemnify, defend, and hold harmless Quantum SmartQR and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your content, your violation of these Terms, or your violation of any third-party rights or applicable law.
10. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms, for abuse or risk to the Service, or for any other reason we deem appropriate. You may stop using the Service at any time. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.
11. Governing Law and Disputes
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts. Nothing in these Terms limits either party’s right to seek injunctive or other equitable relief in any court of competent jurisdiction.
12. Changes to These Terms
We may modify these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Material changes may be communicated via the Service or by email where appropriate. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
13. General
These Terms, together with our Privacy Policy and any plan-specific or order terms, constitute the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision does not waive that right or provision.
